1. Agreement to Terms

By accessing or using QuoteMe (the "Service"), operated by QuoteMe, LLC, a Utah limited liability company ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Use ("Terms"). If you disagree with any part of these terms, you do not have permission to access the service.

2. Description of Service

QuoteMe is a web-based service that allows users to create video supercuts by entering text messages. Our service searches through transcribed movie content to find matching words and assembles them into custom video clips.

3. User Accounts

3.1 Eligibility

You must be at least 13 years old to use QuoteMe. Users under 18 must have parental consent. By creating an account, you represent and warrant that you meet these age requirements.

3.2 Account Creation

To use QuoteMe, you must create an account using Clerk authentication. You are responsible for:

• Providing accurate and complete information
• Maintaining the security of your account
• All activities that occur under your account
• Immediately notifying us of any unauthorized use

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these terms or engage in prohibited activities. We may terminate accounts immediately for:

• Violation of intellectual property rights
• Illegal activities or harmful content creation
• Attempted security breaches or system abuse
• Non-payment of subscription fees
• Violation of export control or sanctions laws

4. Acceptable Use

You agree to use QuoteMe only for lawful purposes. You must not:

• Create content that is offensive, harmful, or violates any laws
• Infringe on intellectual property rights
• Attempt to gain unauthorized access to our systems
• Use the service to harass, abuse, or harm others
• Create misleading or deceptive content
• Violate any applicable laws or regulations
• Use automated systems or bots without permission
• Exceed usage limits or attempt to circumvent restrictions

5. Subscription and Payment

5.1 Free Tier

QuoteMe offers a free tier with limited monthly message creation. Usage limits reset monthly.

5.2 Paid Subscriptions

Paid subscriptions provide increased usage limits and additional features. Subscription terms:

• Billing is handled through Stripe
• Subscriptions automatically renew unless cancelled
• You may cancel at any time; cancellation takes effect at the end of your current billing cycle
• Mid-cycle subscription changes (upgrades/downgrades) take effect at the next billing cycle
• No refunds for partial months, except as required by law or in cases of service failure
• We reserve the right to change pricing with 30 days advance notice via email; existing subscribers maintain current pricing until next renewal
• Price changes will be communicated with 30 days notice

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of the messages you create. By using QuoteMe, you grant us a limited, non-exclusive, royalty-free license to:

• Process your messages to generate video supercuts
• Store and display your content as necessary to provide the service
• Create anonymized, aggregated analytics to improve service performance

This license terminates when you delete your content or close your account, except for content that has been shared publicly or is required for legal compliance.

6.2 Movie Content

The movie clips used in supercuts remain the property of their respective copyright holders. QuoteMe uses brief excerpts from movies for the limited purpose of creating user-requested supercuts. We use movie clips consistent with fair use principles as understood at time of implementation, but cannot guarantee this determination for all use cases or future legal developments.

6.3 DMCA Compliance

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe your copyright has been infringed, please contact us at:

We will respond to valid DMCA notices promptly, typically within 48 hours, and may remove content pending resolution.

7. Privacy and Compliance

Your use of QuoteMe is also governed by our Privacy Policy, which is incorporated by reference. Please review our Privacy Policy for information about our data collection practices.

7.1 Export Controls

You may not use QuoteMe if you are located in a country subject to US government embargo or sanctions, or if you are on the US Treasury Department's list of Specially Designated Nationals or the Commerce Department's Entity List. International users retain rights under applicable local privacy laws.

7.2 Customer Service Recording

Customer service interactions may be recorded or monitored for quality assurance and training purposes. By contacting our support team, you consent to such recording.

8. Disclaimers and Limitations

8.1 Service Availability

QuoteMe is provided "as is" without warranties of any kind. While we target 99% uptime, we make no guarantees regarding:

• Uninterrupted or error-free service
• Accuracy or reliability of generated content
• That all words will be found in our movie database
• Specific movies will be available
• Compatibility with all devices or assistive technologies

8.2 Accessibility

8.3 Limitation of Liability

To the maximum extent permitted by law, QuoteMe shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the service. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

8.4 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, internet service provider failures, or government regulations.

9. Indemnification

You agree to indemnify and hold harmless QuoteMe and its affiliates from any claims, losses, damages, liabilities, and expenses arising from your use of the service or violation of these terms, except for claims arising from our gross negligence or willful misconduct.

9a. Content Moderation Appeals

If your content is removed or your account is restricted for content policy violations, you may appeal the decision by contacting support@quoteme.video within 30 days. We will review appeals promptly and notify you of our decision.

10. Modifications to Terms

We reserve the right to modify these terms at any time. Material changes will be notified to users via email at least 30 days before taking effect. For significant changes that affect your rights, we may require your explicit acceptance. Continued use after non-material changes constitutes acceptance of the new terms.

11. Dispute Resolution

11.1 Binding Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Rules, except for disputes under $5,000 which may be brought in small claims court. Arbitration will be conducted in Utah. You waive your right to participate in class action lawsuits where such waiver is legally enforceable.

11.2 Exceptions

Either party may seek injunctive relief in court for intellectual property violations or threats to system security without first going to arbitration.

11.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Utah, United States, without regard to its conflict of law provisions.

11.4 International Users

Users outside the United States retain rights under applicable local privacy and consumer protection laws, including GDPR and UK GDPR. These Terms do not limit any rights that cannot be waived under local law.

13. Effective Date and Updates

These Terms take effect immediately upon posting for new users, and upon your next login or use of the service for existing users.

We may provide advance notice of service termination for non-violation reasons where operationally feasible, but reserve the right to immediately suspend service for violations or security threats.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be reformed to the minimum extent necessary to make it enforceable, or eliminated if reformation is not possible, so that these Terms will otherwise remain in full force and effect.
